These terms form part of and are subject to the Anakin Master Terms of Service.

Overview

These Anakin Credits Terms govern how Anakin Credits (“Credits”) are issued, how purchase growth works, how Credits are valued and converted to cash, and how Portfolio Positions work. Credits are issued and administered by The Anakin Network Services Ltd (RC: 9266503) in partnership with a licensed Nigerian fund manager.

These Terms apply to all Anakin users who hold Credits or a Portfolio Position. They should be read alongside the Anakin Master Terms of Service, the Anakin Wallet Terms and the Portfolio Advance Terms.

Plain language summary: When you pay for something with your Anakin wallet, you get cashback in Credits straight away, and the purchase keeps growing in your portfolio for 90 days. What it has added lands as Credits on day 90. Credits are units in a Nigerian Money Market Fund, so their value can go up or down. You can convert Credits to naira at any time. Separately, you can add your own money to your portfolio as a Portfolio Position, which is locked for 3 months and is what a Portfolio Advance is secured on.

1. What Anakin Credits Are

Credits are a rewards portfolio. Each Credit is a unit in a SEC-registered Nigerian Money Market Fund (the “Fund”), bought by Anakin for you at the net asset value per unit (NAV) on the day it is issued. The units are held in a custodial structure maintained by the fund manager, and you have beneficial ownership of the Credits standing to your name.

Your portfolio value, shown in naira in the app, is the number of Credits you hold multiplied by the Fund’s current NAV.

2. What Credits Are Not

Credits are not legal tender, money or a regulated payment instrument.
Credits are not a bank deposit and are not protected by the Nigerian Deposit Insurance Corporation (NDIC).
Credits cannot be transferred to another user, gifted or sold outside Anakin.
Credits are not publicly tradeable securities and do not represent equity or ownership in The Anakin Network Services Ltd (RC: 9266503). Holding Credits does not make you a shareholder.

3. How You Get Credits

You can receive Credits in these ways:

Cashback. When you pay for a qualifying purchase from your Anakin wallet, Anakin issues cashback to you in Credits when the purchase completes. The amount is shown in naira before you pay. Higher membership tiers receive more cashback. Your tier depends on your streak of consecutive days with a qualifying purchase.
Purchase growth. See section 4.
Sign-up and referral rewards. One-off Credits may be issued when you join or refer another user, on the terms shown in the app at the time.
Promotions. Anakin may issue promotional Credits on limited-time conditions communicated when they are issued.

Credits are issued only for purchases that complete. A purchase that is cancelled, refunded or reversed does not keep its cashback or its growth, as set out in section 5.

Anakin may change cashback amounts, qualifying purchases, tier thresholds and other parts of the programme prospectively, with notice under section 12.

4. Purchase Growth

Every qualifying purchase you pay for with your wallet keeps growing in your portfolio for 90 days after you pay.

The amount is set when you pay. It is a fixed naira amount, calculated once from the purchase and shown in the app. It does not compound and does not change with the market.
It builds daily. The app shows a part of it each day.
It lands on day 90. On day 90 the amount is paid to you as Credits, bought at that day’s NAV.
Your purchase is not held. The merchant is paid in the normal way. Purchase growth is a reward by Anakin. It is not interest, a deposit, a loan or an investment by you, and you have no claim on the amount before day 90.
It is discretionary. Anakin decides which purchases qualify and sets the amount under these Terms. Purchases paid using a Portfolio Advance, purchases made through a fleet wallet, wallet top-ups and purchases on which Anakin receives no fee do not qualify.

5. Refunds and Reversals

If a purchase is refunded or reversed in full before day 90, its purchase growth is cancelled and nothing is paid. If it is refunded in part, the growth is reduced in the same proportion. Cashback on the purchase is reduced or recovered in proportion to the refund. If you have already converted or spent the Credits, Anakin may recover the value from the refund or from future Credits.

After purchase growth has landed as Credits, it is not recalled except where permitted under section 10.

6. Portfolio Value and NAV

The NAV is set by the fund manager and published daily. It changes as the Fund’s underlying assets change. The value of Credits can go down as well as up, and past performance is not a guide to the future. Anakin does not control or guarantee the Fund’s NAV or returns.

7. Converting Credits to Cash

You may convert all or part of your Credits to naira at any time from the Portfolio section of the app. Conversion is made at the Fund’s current NAV, less a 0.5% fee, and the proceeds are credited to your wallet, from where you can withdraw to your bank account.

New Credits take about 48 hours to settle, in case the purchase behind them is refunded or reversed, and cannot be converted until they have settled.
Settlement of the underlying units by the Fund may take 1–2 business days. Anakin pre-funds conversions so your wallet is credited promptly.
An outstanding Portfolio Advance does not stop you converting Credits, because Credits do not secure it.

8. Portfolio Positions

A Portfolio Position is money you choose to add to your portfolio from your wallet. It is separate from Credits.

Term. Each position is locked for a fixed 3 months. It cannot be converted or withdrawn early.
Fee. A 0.5% fee applies when you add to your portfolio.
What it adds. The app shows you, before you confirm, the amount the position will add by the end of the term. That amount is fixed by Anakin under these Terms when the position opens.
At the end of the term. The position pays out to your wallet: what you added, plus what it has added, less any part used to settle a Portfolio Advance secured on it (see the Portfolio Advance Terms).
Borrowing. A position secures your Portfolio Advance from the moment it opens.

A Portfolio Position is not a deposit and is not protected by the NDIC.

9. No Expiry

Credits do not expire while your account is open and in good standing.

If you close your account, you may convert your Credits before closure. Credits not converted before closure will be redeemed by Anakin at NAV and the proceeds returned to you after any outstanding obligations are settled. If Anakin terminates your account for breach or fraud, Credits may be forfeited as far as Nigerian law allows, with the net proceeds returned to you after amounts owed are settled.

10. Misuse and Forfeiture

The following are misuse and may lead to reversal of Credits and purchase growth, suspension and further action:

trying to transfer, sell or monetise Credits outside Anakin;
exploiting errors or unintended features of the programme;
fake, circular or collusive transactions made to generate Credits;
using more than one account or a false identity to get around the rules.

11. Taxes

Receiving, holding and converting Credits and Portfolio Positions may have tax consequences under Nigerian law. Anakin does not give tax advice. You are responsible for your own tax obligations.

12. Changes to These Terms and the Programme

Anakin may update these Terms and the Credits programme, including cashback amounts, how purchase growth is calculated, tier thresholds and the Fund used. Changes apply to purchases and positions opened after the change. Where a change would materially reduce the value of Credits you already hold, Anakin will give at least 30 days’ notice in the app or by your registered contact details and allow you to convert your Credits under the existing terms during that period.

13. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes are resolved under the dispute resolution provisions of the Anakin Master Terms of Service.
