These terms form part of and are subject to the Anakin Master Terms of Service.
These Anakin Credits Terms govern the issuance, accrual, management, and liquidation of Anakin Credits (“Credits”) and the portfolio they constitute. Credits are issued and administered by The Anakin Network Services Ltd (RC: 9266503) in partnership with a licensed Nigerian fund manager.
These Terms apply to all Anakin users who hold a Credits balance. They should be read alongside the Anakin Master Terms of Service, the Anakin Wallet Terms, and where applicable, the Portfolio Advance Terms.
Plain language summary: When you transact in the Anakin Network, Anakin purchases units in a Nigerian Money Market Fund on your behalf. Those units form your Credits portfolio. Your portfolio grows as you earn more units and as the fund accrues daily NAV appreciation. Your portfolio contributes to the collateral pool that enables Credits Advance. You can also convert your portfolio to naira (liquidate) at any time.
Anakin Credits are units of beneficial interest in a SEC-registered Nigerian Money Market Fund (“the Fund”), purchased by Anakin on your behalf at the time of each qualifying earn event. Each Credit corresponds to one unit in the Fund at the NAV (net asset value per unit) prevailing at the time of purchase.
Credits are held in a custodial account structure maintained by the fund manager. You have beneficial ownership of the Credits standing to your name. Your portfolio value — displayed in naira within the Anakin app — is the number of Credits units you hold multiplied by the Fund’s current NAV.
Credits accrue to your account through qualifying activities within the Anakin ecosystem. The earn rate — expressed as Credits per naira spent — will be displayed in the app at the time of each transaction. All members earn at the same base rate regardless of membership tier.
Credits may be earned through the following qualifying activities:
Anakin reserves the right to:
Credits accrue only upon successful completion of a qualifying transaction and are not awarded in respect of transactions that are subsequently cancelled, refunded, or reversed.
Your portfolio value is displayed in naira within the app at all times. It reflects the number of Credits units you hold multiplied by the Fund’s current NAV.
The NAV is determined by the fund manager and published daily. It changes as the Fund accrues yield on its underlying assets. Anakin has no control over and makes no representation about future NAV movements. Past fund performance is not a guarantee of future returns. When the NAV rises, the naira value of each Credit unit you hold increases accordingly.
A record of your Credits accruals, liquidations, and any adjustments is maintained within the app and is accessible at any time through your transaction history. You should review this regularly and notify us promptly if you believe an error has occurred.
If you believe your Credits balance is incorrect, contact us at support@theanakin.com within thirty (30) days of the relevant transaction. We will investigate and, where an error is confirmed, correct your balance accordingly.
You may liquidate all or part of your Credits portfolio at any time from the Portfolio section of the Anakin app. Liquidation converts Credits units to naira at the current NAV and credits the proceeds to your AnakinPay wallet balance, from which you may withdraw to your bank account at any time.
Liquidation is subject to the following:
Where you have an active Credits Advance balance, a portion of your Credits portfolio serves as security for that balance. Anakin maintains a lien over the pledged portion as part of its corporate working capital facility. You may not liquidate Credits serving as collateral while an outstanding balance exists.
Your Credits portfolio is not reduced or debited by the act of accessing Portfolio Advance. Units continue to earn yield whether or not they are pledged as backing.
Anakin Credits do not expire. Your Credits portfolio remains available for as long as your account is active and in good standing, regardless of how frequently you transact.
Upon voluntary account closure, you may liquidate your Credits portfolio at current NAV before closure is processed. Credits not liquidated prior to closure will be redeemed by Anakin and the naira proceeds returned to your registered payment method after settlement of any outstanding obligations.
Upon account termination by Anakin for breach or fraud, Credits may be forfeited to the extent permitted by applicable Nigerian law, with net proceeds returned to you after satisfying any outstanding amounts owed.
Anakin reserves the right to modify, suspend, or discontinue the Credits programme with reasonable advance notice. This includes the right to change earn rates, qualifying activities, and programme structure.
Where a material change reduces the value or availability of existing Credits balances, Anakin will provide at least thirty (30) days’ advance notice through the app or your registered contact details, and will allow a redemption window during which Credits may be liquidated under the existing terms.
The following constitute misuse and may result in forfeiture of Credits, account suspension, and further action:
Where Anakin determines that Credits have been accrued through misuse, we reserve the right to reverse those Credits and adjust your balance to reflect legitimate accruals only.
The accrual, appreciation, and liquidation of Anakin Credits may have tax implications under Nigerian law. Anakin does not provide tax advice. You are responsible for determining and fulfilling any applicable tax obligations. We recommend consulting a qualified tax adviser if you are uncertain.
Portfolio Advance is a separate but related product that allows eligible users to access part of their Credits portfolio value at checkout, with no interest and no repayment obligation. Your Credits portfolio serves as the backing for the Portfolio Advance facility. The Portfolio Advance Terms govern how this backing operates, eligibility requirements, and advance ratios. Those Terms should be read alongside these Credits Terms.
Anakin may update these Credits Terms from time to time. Material changes will be communicated through the app or your registered contact details with reasonable advance notice. Your continued participation in the Credits programme after the effective date of any update constitutes your acceptance of the revised Terms.
These Credits Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising under or in connection with these Terms shall be resolved in accordance with the dispute resolution provisions in the Anakin Master Terms of Service.
